7th Oct 2020: We are pleased to share that MAA & PARTNERS has advised AGC Networks Ltd, an Essar group company, in acquiring UAE-based Fujisoft Technology and its associated companies. The acquisition was structured through the indirect subsidiary of the AGC Networks, Black Box Holdings Ltd.
Vivek Agrawalla, Partner was the leading legal advisor to the acquirer throughout the acquisition process beginning from the signing of the term sheet, legal due diligence on the targets and completion of acquisition requirements. Vivek Agrawalla was ably supported by Ruchi Sharma, Associate throughout the transaction. The acquisition was particularly challenging as it was one of those acquisition transactions that commenced in the pre-covid period and the key developments were taking place through the covid period. Needless to mention, the complexities multiplied during the covid times because of involvement of multiple jurisdictions. We are delighted that the acquisition is successful to the satisfaction of the parties.
The acquisition of Fujisoft will substantially increase and strengthen AGC’s presence and offerings in the Middle East region. This will also enhance the current solution portfolio of AGC and Black Box across Cloud Computing & Virtualization, Information Security, Managed Services, Infrastructure, Data Center and Communication & Collaboration.
